AXG Consulting Ltd provides business consultancy services including process analysis and streamlining, workflow automation, AI implementation, custom CRM development, website design, and systems integration. The scope, deliverables, timeline, and fees for any engagement will be set out in a written proposal prior to commencement.
Upon receipt of full payment, ownership of deliverables created specifically for you transfers to you. We retain ownership of any pre-existing tools, frameworks, or methodologies used in delivery and grant you a non-exclusive perpetual licence to use these as incorporated into your deliverables. You retain full ownership of content and materials you provide to us.
Both parties agree to keep confidential any sensitive business information shared during an engagement. We will not disclose your confidential information to third parties without your consent except where required by law. We may reference that we have worked with your business in our portfolio unless you request otherwise in writing.
To the fullest extent permitted by law, AXG Consulting Ltd shall not be liable for any indirect, incidental, or consequential damages arising from use of our services. Our total liability shall not exceed the total fees paid by you in the three months preceding the relevant claim. Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
We warrant that our services will be performed with reasonable skill and care. We do not warrant that services will be uninterrupted or error-free, or that any specific business outcomes will be achieved.
Either party may terminate an engagement by providing written notice per the terms in the relevant proposal. Upon termination you remain liable for all fees for work completed to that date. We will deliver completed work upon receipt of outstanding payment.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
